Liability Waiver

This Agreement is entered into between Ultralete Fitness LLC and any personal trainer working through this facility and the client signing this waiver. The provision of personal training services by Ultralete Fitness LLC (listed in agreement as Trainer) to Client, and Client's use of any premises, facilities or equipment are contingent upon this Agreement.
You agree that if you engage in any physical exercise or activity, including personal training, or enter our premises or use any facility or equipment on our premises for any purpose, or train with us on any other premises, you do so at your own risk and assume the risk of any and all injury and/or damage you may suffer, whether while engaging in physical activity or not. This includes injury or damage sustained while and/or resulting from using any premises or facility, or using any equipment, whether provided to you by Trainer or otherwise, including injuries or damages arising out of the negligence of Trainer, whether active or passive, or any of Ultralete Fitness LLC affiliates, employees, agent, representatives, successors, and assigns.
Your assumption of risk includes, but is not limited to, your use of any exercise equipment (mechanical or otherwise).
You agree that you are voluntarily participating in the aforementioned activities and assume all risk of injury, illness, damage, or loss to you or your property that might result, including, without limitation, any loss or theft of any personal property, whether arising out of the negligence of Trainer or otherwise.
Release: You agree on behalf of yourself (and all your personal representatives, heirs, executors, administrators, agents, and assigns) to release and discharge Ultralete Fitness LLC (and Trainer's affiliates, related entities, employees, agents, representatives, successors, and assigns) from any and all claims or causes of action (known or unknown) arising out of negligence of Trainer, whether active or passive, or any of Ultralete FItness LLC affiliates, employees, agents, representatives, successors, and assigns.

The waiver and release of liability includes, without limitation, injuries which may occur as a result of your use of any exercise equipment or facilities which may malfunction or break, improper maintenance of any exercise equipment premises or facilities, negligent instruction or supervision, including personal training, negligent hiring or retention of employees, and/or slipping or tripping and falling while on any portion of a premises or while traveling to or from personal training, including injuries resulting from Trainer's or anyone else's negligent or maintenance of the facility or premises.
Indemnification: By execution of this agreement, you hereby agree to indemnify and hold harmless Ultralete Fitness LLC from any loss, liability, damage, or cost Trainer may incur due to the provision of personal training by Trainer to you.
Acknowledgments: You expressly agree that the foregoing release, waiver, assumption of risk and indemnity agreement is intended to be as broad and inclusive as permitted by the law in the State of California and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.
You acknowledge that Trainer offers a service to his/her clients encompassing the entire recreational and/ or fitness spectrum. Trainer is not in the business of selling weightlifting equipment, exercise equipment, or other such products to the public, and the use of such items is incidental to the service provided by Trainer.
You acknowledge and agree that Ultralete Fitness LLC does not place such items into the stream of commerce. This release is not intended as an attempted release of claims of gross negligence or intentional acts. You acknowledge that you have carefully read this waiver and release and fully understand that it is a release of liability, express assumption of risk and indemnity agreement.
You are aware and agree that by executing this waiver and release, you are giving up your right to bring a legal action or assert a claim against Ultralete Fitness LLC (or any trainer working in our facility) for trainer's negligence, or for any defective product used while receiving personal training from trainer. You have read and voluntarily signed the waiver and release and further agree that no oral representations, statements, or inducement apart from the foregoing written agreement have been made.

Personal Training Agreement

This Personal Training Agreement, (hereinafter, the Agreement) is made and entered into on ___(Date/Listed Below)____, by and between Ultralete Fitness/independent trainer and __(Name Printed Below)_______ (hereinafter, the Client). Trainer and the Client are sometimes collectively referred to in this Agreement as the Parties. The parties hereby agree to the following terms and conditions: 1. GENERAL TERMS Client acknowledges that s/he agrees to the services of a independent trainer working in the facility of Ultralete Fitness. It is known by the client that you're working with an indpendent contractor trainer and that this trainer is not employed by Ultralete Fitness, you will go to the independent trainer for anything that has to do with liability, injury, refunds, payment issues, etc. Trainer will design a tailored exercise program for the Client that reflects the client's objectives, fitness level, and experience. A different trainer may be assigned to the Client at any time upon the sole discretion of Ultralete Fitness. Training programs shall have various Training Sessions. Each Personal Training Session shall last 60 minutes (hereinafter Training Session). 2. ATTACHMENT Client has read and executed the Full Disclosure of Physical Conditions/Informed Consent and Assumption of Risk, and Release of Liability form, which is attached hereto and incorporated into this agreement as if fully set forth herein. 3. TRAINING PACKAGES AND PAYMENTS Training Packages include various exercise programs involving various activities. Activities shall mean the following: testing, including but not limited to testing of the cardiovascular system, heart rate, muscle strength, endurance, and flexibility; training; exercise; aerobics and aerobic conditioning and training; weight training; circuit training; cardiovascular exercise and training; use of machinery, training equipment, free weights, circuit machinery, and cardiovascular machines; stretching; weight lifting; and any other training activities, techniques, and/or exercises. The Training Package chosen by the client shall consist of _(Listed Below)____ training sessions/week. The Client agrees to pay the Trainer the sum of $______ per month. Fees are Paid monthly. Training Packages Small Group Training 2x/wk=$100/sess 2x/wk=$240/month 3x/wk=$90/sess 3x/wk=$280/month 4x/wk=$80/sess Unlimited=$340/month The Client will be charged for a canceled appointment unless the Client notifies Independent Contractor or Ultralete Fitness of such cancellation at least 6 hours prior to the scheduled time. Make Up sessions must be utilized in the same month as missed no sessions will be taken off the next month's cost of training. You may use your make up sessions in Group Training Classes or a Reschedule with your trainer. 4. PARTNER TRAINING All Partner Training must be done together, if one client goes then both clients sessions are used up for the session. If a client wants to do a make up session they can use the group class workouts as a make up session. Partner Training will be 1.5x the rate of one on one coaching Group Classes Group Classes must be completed within the month of purchase, there will be no make up sessions pushed to the next month. 5. WAIVER AND INDEMNITY The Client agrees to indemnify the fitness trainer for any injuries, illnesses, or expenses from the Clients participation, especially if the Client has neglected to disclose a known medical condition or similar information that might affect the Client's ability to participate in the Fitness Program. 6. TERMINATION OF AGREEMENT Clients must give 2 weeks notice for cancellation of following months training. Clients will pay for the next month's training if 2 weeks have not been given prior to payment. 7. EFFECT OF TERMINATION In the event the Client terminates this Agreement, the Trainer shall retain all payments made for all unused Training Sessions or packages. In the event the Trainer terminates this Agreement, the Trainer shall refund to the Client all payments made for unused portions of Training Sessions or packages. All sessions still under clients name if cancelled can be used as serviced sessions and no sessions will be refunded. 8. ENTIRE AGREEMENT This Agreement (including the Full Disclosure of Physical Conditions/Informed Consent and Assumption of the Risk and Release of Liability) constitutes the entire agreement of the Parties, and supersedes any and all previous understanding, agreements, arrangements, or discussions, written or oral, between the Parties relating hereto. There are no collateral agreements, representations, or guarantees, oral or otherwise unless attached hereto and signed by both Parties. 9. WARRANTIES There are no warranties either express or implied in this Agreement that are not expressly contained in this Agreement. 10. APPLICABLE LAW This Agreement shall be governed by the laws of the State of California 11. SIGNATORIES This Agreement shall be signed on behalf of the independent contracting trainer at Ultralete Fitness by _________________ and by the Client, _________________. This Agreement is effective as of the date first written above. Any Client under the age of 18 must have a parent or legal guardian sign this Agreement
